3Services and Engagements

Specific client engagements are governed by individual proposals, statements of work, or service agreements ("Engagement Documents"). In the event of a conflict between these Terms and an Engagement Document, the Engagement Document prevails for that engagement.

SEO, GEO, and digital marketing outcomes depend on factors outside our control, including search engine and AI platform algorithm changes, competitor activity, and market conditions. While we share documented results and apply industry best practices, we do not guarantee specific rankings, traffic volumes, AI citations, or revenue outcomes unless expressly stated in writing in an Engagement Document.

4Quotes, Fees, and Payment

• Fees, payment schedules, and currencies are set out in the applicable Engagement Document or invoice.
• Invoices are payable by the due date stated on the invoice. Late payments may result in suspension of services and may attract interest as permitted by applicable law.
• Unless otherwise stated, fees are exclusive of applicable taxes (including GST), which will be added where required.
• Third-party costs (such as ad spend, software subscriptions, or domain and hosting fees) are the client's responsibility unless expressly included in the Engagement Document.

5Client Responsibilities

For service engagements, you agree to provide timely access to accounts, platforms, content, approvals, and information reasonably required for us to perform the services. Delays in providing access or approvals may affect timelines and deliverables.

6Intellectual Property

6.1 Our Content

All content on the Site, including text, graphics, logos, case studies, blog posts, and design elements, is owned by or licensed to Alpha Geeks and is protected by copyright, trademark, and other intellectual property laws. You may view and share links to our content, but you may not reproduce it commercially without written permission.

6.2 Deliverables

Unless otherwise agreed in an Engagement Document, ownership of final deliverables (such as website code, content, and reports) transfers to the client upon full payment of all applicable fees. We retain ownership of our pre-existing tools, frameworks, templates, and methodologies.

6.3 Portfolio Rights

Unless the client requests otherwise in writing, we may reference completed work and anonymised or approved results in our portfolio, case studies, and marketing materials.

7Confidentiality

Each party agrees to keep confidential any non-public business, technical, or financial information received from the other party, and to use it only for the purposes of the engagement. This obligation survives the end of any engagement. Separate non-disclosure agreements, where signed, take precedence.

8Third-Party Platforms and Links

Our services frequently involve third-party platforms such as Google, Shopify, WordPress, Meta, LinkedIn, and AI platforms. We are not responsible for the availability, policies, or actions of these platforms, including account suspensions, policy changes, or algorithm updates. The Site may contain links to third-party websites; we are not responsible for their content or practices.

9Disclaimers

The Site and its content are provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. 10Limitation of Liability

To the maximum extent permitted by applicable law:

• Alpha Geeks will not be liable for indirect, incidental, consequential, special, or punitive damages, or for loss of profits, revenue, data, or goodwill.
• Our total aggregate liability arising out of or relating to any engagement is limited to the fees paid by the client to Alpha Geeks for the services giving rise to the claim in the three months preceding the event.

Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud or wilful misconduct.

11Indemnity

You agree to indemnify and hold Alpha Geeks harmless from claims arising out of your breach of these Terms, your misuse of the Site, or materials and instructions you provide to us that infringe third-party rights or violate applicable law.

12Termination

We may suspend or terminate access to the Site at any time for breach of these Terms. Termination of client engagements is governed by the applicable Engagement Document. Sections relating to intellectual property, confidentiality, disclaimers, limitation of liability, and governing law survive termination.

13Governing Law and Jurisdiction

These Terms are governed by the laws of India. Subject to any mandatory consumer protections in your jurisdiction, the courts at Mohali, Punjab, India shall have exclusive jurisdiction over disputes arising out of these Terms or your use of the Site.

14Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on this page with a revised effective date. Continued use of the Site after changes take effect constitutes acceptance of the updated Terms.
